Creator Terms of Service

These Creator Terms of Service (“Creator Terms”) constitute a binding legal agreement between you (“Creator,” “you,” or “your”) and GoGrabbly (“Company,” “we,” “us,” or “our”) governing your use of the Company’s website, platform, and related services (the “Services”) for the purpose of posting and managing product projects.

By submitting or managing a project on the Services, you acknowledge that you have read, understood, and agree to be bound by these Creator Terms.

1. Eligibility

1.1. You must be at least eighteen (18) years of age and legally capable of entering into binding contracts.
1.2. You represent and warrant that any entity you act on behalf of is duly organized, validly existing, and authorized to engage in business.

2. Creator Accounts

2.1. To post a project, you must create a Creator account and provide accurate and complete information.
2.2. You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account.
2.3. The Company reserves the right to suspend or terminate accounts for violations of these Creator Terms.

3. Project Listings

3.1. You may submit proposed physical products (“Projects”) for listing on the Services to gauge potential customer interest.
3.2. You represent and warrant that all information provided in connection with a Project is accurate, not misleading, and does not omit material facts.
3.3. You must not list any prohibited, unlawful, unsafe, or infringing items. Prohibited categories include but are not limited to: counterfeit goods, controlled substances, weapons, adult content, and products that violate consumer safety laws.
3.4. By submitting a Project, you grant the Company a worldwide, non-exclusive, royalty-free license to display and promote the Project on the Services and through related marketing channels.
3.5. Each Project submitted to the Services must also be publicly listed as a “Coming Soon,” “Preview,” or equivalent status page on an approved crowdfunding platform (including Kickstarter, BackerKit, or Indiegogo). The Company reserves the right to verify such listing prior to or after publication on the Services. Projects not satisfying this requirement may be suspended or removed at the Company’s discretion.

3.6. All Projects submitted through the Services are subject to review and approval by the Company prior to publication. The Company reserves the sole right to accept, reject, or remove any Project at its discretion, including but not limited to Projects that do not meet the requirements of these Creator Terms, applicable law, or the Company’s quality and content standards.

4. Reservations and Credits

4.1. Backers may place $1 reservations on Projects, which are recorded as reservation credits in their accounts.
4.2. Reservation credits entitle Backers to access a discount at launch, but do not guarantee sales, funding, or delivery of your Project.
4.3. You acknowledge that GoGrabbly does not act as an escrow agent and does not transfer reservation payments directly to Creators.
4.4. The Company may, in its discretion, share aggregated reservation metrics (e.g., number of reservations) with you through your Creator dashboard.

5. Creator Responsibilities

5.1. Accuracy. You are solely responsible for the accuracy and lawfulness of your Project description, images, specifications, claims, timelines, and other content.
5.2. Compliance. You must comply with all applicable laws, including intellectual property, advertising, and consumer protection laws.
5.3. Independence. You acknowledge that you, and not the Company, are responsible for any eventual manufacturing, fulfillment, customer service, and delivery of your product.
5.4. Prohibited Practices. You may not:

• Misrepresent reservation counts, timelines, or delivery capabilities.

• Use the Services for crowdfunding purposes beyond permitted reservations.

• Solicit or harvest personal data from Backers outside the Services without consent.

5.5. By listing a Project on the Services, you expressly agree to provide each Backer who has placed a valid reservation with the promised discount, add-on, or other benefit described in your Project listing, provided such Backer subsequently purchases the product at launch.

 

5.6. If you fail to honor this obligation upon meeting the project’s funding goal, and the Company issues refunds, credits, or other compensation to Backers as a result, you agree to reimburse and indemnify the Company for all such amounts, including reasonable administrative costs and expenses, recoverable under the laws of the Commonwealth of Pennsylvania.

6. Intellectual Property

6.1. You retain ownership of your Project content but grant the Company a limited license to use such content for operation and promotion of the Services.
6.2. You represent that you own or have sufficient rights to all content you submit, and that your Project does not infringe third-party intellectual property rights.

7. Promotional Opportunities
7.1. Optional Paid Promotion. Creators may purchase promotional placements on the Services, including but not limited to designated slots on the front page, inclusion in newsletters, or other promotional formats offered by the Company.

7.2. Reservation of Slots. Promotional placements are available only for the timeframes and formats specified by the Company. Slots are non-exclusive, non-transferable, and subject to availability.

7.3. Creator Content Obligations. Creators purchasing promotional placements are responsible for providing all required materials (including images, text, and other assets) in the sizes, lengths, and formats requested by the Company. The Company may refuse to publish promotional content that does not meet these requirements.

7.4. No Guarantee of Results. Promotional placements do not guarantee any particular outcome, including but not limited to reservations, sales, or Backer engagement. All promotional placements are provided “as is” and are subject to the disclaimers and limitations of liability in these Creator Terms.

 

8. Fees and Payments

8.1. Posting a Project may be subject to fees as described on the Services.
8.2. Reservation payments are collected by the Company and retained as service fees. Reservation credits are maintained within Backer accounts and are not remitted to Creators.
8.3. The Company reserves the right to modify fee structures upon thirty (30) days’ notice.

9. Termination and Removal

9.1. The Company may, in its sole discretion, remove or suspend any Project that violates these Creator Terms or that it deems harmful, misleading, or inappropriate.
9.2. Termination of your Creator account does not relieve you of responsibility for any obligations incurred prior to termination.

10. Disclaimers

10.1. The Services are provided on an “AS IS” and “AS AVAILABLE” basis. The Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10.2. The Company does not guarantee that your Project will receive reservations, launch successfully, or achieve any level of sales.

11. Limitation of Liability

11.1. To the fullest extent permitted by law, the Company shall not be liable for indirect, incidental, consequential, or special damages arising from your use of the Services.
11.2. In no event shall the Company’s total liability exceed the total fees paid by you to the Company in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless the Company, its officers, directors, employees, and affiliates from and against any claims, damages, losses, or expenses (including attorneys’ fees) arising from:
(a) your Project content, products, or representations;
(b) your violation of these Creator Terms; or
(c) your violation of any applicable law or third-party rights.

13. Governing Law and Jurisdiction

13.1. These Creator Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.
13.2. Any disputes shall be resolved exclusively in the state courts of the Court of Common Pleas ofLehigh, Pennsylvania, or the United States District Court for the Eastern District of Pennsylvania, if federal jurisdiction applies.

14. Modifications

The Company reserves the right to modify these Creator Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
